Is GST applicable on a proforma invoice?

No. A proforma invoice is not a document recognised under GST law, so issuing one creates no GST liability by itself. If the buyer pays an advance against your proforma

Here the answer splits, and the split is the part almost everyone gets wrong.

For supply of goods, no GST is payable on the advance. Notification No. 66/2017-Central Tax dated 15 November 2017 shifted the time of supply for goods to Section 12(2)(a), which means tax becomes payable on the date the invoice is issued, not the date the money lands. This applies to every registered person who has not opted for the composition levy. So a hardware trader who receives ₹4 lakh in advance against a proforma pays GST only when he raises the tax invoice at dispatch.

For supply of services, GST is payable on the advance. The services time-of-supply rule was never relaxed. If a service provider receives payment before issuing the invoice, tax is due at that point, and a receipt voucher must be issued under Section 31(3)(d) read with Rule 50 of the CGST Rules. If the deal later falls through and no invoice is raised, a refund voucher closes the loop.

So a printing press taking an advance for a design service pays GST on receipt. A pipe wholesaler taking an advance for stock does not. Same proforma invoice, two entirely different outcomes, and mixing them up is what produces mismatch notices later.

One more caution. A composition dealer is outside the Notification 66/2017 relief, and a composition dealer cannot collect tax on supplies at all, so any proforma sent by a composition business should carry the line "Composition taxable person, not eligible to collect tax on supplies".

  • Payment terms, delivery terms, and expected delivery timeline

  • A line stating that this is not a tax invoice and confers no input tax credit

Two of those deserve emphasis. The separate number series is what keeps your books clean, because a proforma number that leaks into your tax invoice sequence creates a gap that an officer will ask about during scrutiny. And the validity period is what stops a buyer returning six months later demanding a price you quoted before your own purchase cost changed.

Proforma invoice for export: LC, LUT and customs

Export is the one situation where a proforma invoice is close to unavoidable. A foreign buyer usually cannot open a Letter of Credit without one, because the bank needs a document describing the goods, the value, the currency and the shipment terms before it commits.

A proforma invoice for export typically adds these to the standard details:

  • Currency of the transaction and the agreed exchange basis

  • Incoterms, for example FOB, CIF or CFR

  • Country of destination, port of loading and port of discharge

  • HS code, which for Indian exporters aligns with the HSN code

  • Bank details for the remittance

  • Expected shipment schedule and packing details

Two GST lines matter here. If you are exporting under a Letter of Undertaking, the proforma should state that this is a zero-rated supply under GST, exported under LUT, without payment of IGST. Can you send goods on a proforma invoice?

How to convert a proforma invoice to a tax invoice

Once the order is confirmed and the supply happens, the proforma has done its job. The conversion is straightforward, but three details trip people up.

  1. Issue a fresh tax invoice with a new number from your tax invoice series. You cannot reuse the proforma number, and you cannot simply relabel the proforma. Rule 46(b) requires a consecutive serial number unique for the financial year.

  2. Reference the proforma on the tax invoice, for example "Ref: PI-2026-014". This is optional under law but it saves an enormous amount of reconciliation time when the buyer's accounts team compares documents.

  3. Adjust any advance already received. If it was a service and GST was paid on the advance against a receipt voucher, that adjustment flows into the final invoice and the return. If it was goods, no advance tax was paid, so nothing to adjust.

Five proforma invoice mistakes that cost real money

1. Labelling it "Invoice". A buyer treats it as a payment demand, an auditor treats it as an unreported sale, and a customs officer treats it as a commercial invoice. One word, three different problems.

2. Using the tax invoice number series. This creates a gap in your GSTR-1 sequence that you will have to explain. Keep the series separate from day one.

3. Assuming GST is due the moment an advance arrives. For goods it is not. Businesses that pay tax on goods advances end up with tax paid ahead of the invoice and a reconciliation headache at year end.

4. Skipping the validity date. Prices move. Without a validity line, an old proforma becomes an argument.

5. Letting the buyer claim ITC on it. Some buyers try. The credit will not appear in their GSTR-2B, the claim fails, and the relationship takes the damage. State clearly on the document that it is not a tax invoice.
